Collegiate Funding Services ("CFS") maintains this Site in an attempt to provide you with comprehensive information on paying for college, what to after graduation, and consolidating education loans. In addition, the Site can be used to convey information about CFS products and services and to execute online transactions. CFS requires that all the visitors to our Site(s) on the Internet (the "Site") adhere to the following rules and regulations. Please read them carefully. 1. Overview of Terms and Conditions

These Terms and Conditions ("Terms") govern the use of the cfsloan.com (www.CFSLoans.com) and collegexit.com (www.collegexit.com ) Web sites, hereafter either referred to as the "Site." The term "CFS" shall be used to refer to cfsloans.com, L.L.C., collegexit.com, L.L.C., and all parent corporations and affiliates including, without limitation, Collegiate Funding Services, L.L.C. The term "Affiliates" shall be used to refer to partners and affiliated entities of CFS. The Site provides users with access to Content, services, and contests/sweepstakes.

CFS may, at its discretion, add, delete, or modify these Terms without notice. By accessing the Site, you agree to use the Site in a manner consistent with these Terms as well as all applicable local, state, and federal laws and regulations, and the restrictions in our Privacy policies. Parties who are unwilling to agree to these Terms may not access this Site. Access to or use of the Site in violation of these Terms constitutes a breach of contract and may also violate other applicable federal and state law.

Basic Site services, contests, and Content are available FREE OF CHARGE, exclusive of other Internet or other telecommunications fees.

The Site provides users of the Site with a variety of information that may but will not necessarily include articles, chat rooms, message boards [CHAT ROOMS AND MESSAGE BOARDS WILL REQUIRE SPECIAL RESTRICTIONS AND COVENANTS -- SEE BELOW], news, and financial and investing data, comics, games, shopping, auctions, product trials, and surveys. All of these features are referred to collectively as "Content" generated by CFS staff, various partners, and Affiliates. These Terms apply to all current and future Site Content.

The Site is intended for use by those ages 18 and older. CFS is not responsible for any or all Content that is deemed inappropriate by the parents or legal guardians of minors who patronize the Site. Site makes available certain information provided by third parties related to various professional, financial, and career fields. CFS does not give advice in any such fields and in no way endorses any of the information provided in this manner. If you intend to use any such information, CFS STRONGLY SUGGESTS THAT YOU SEEK ADVICE FROM A COMPETENT PROFESSIONAL REGARDING ISSUES IN ANY PROFESSIONAL, FINANCIAL, OR CAREER MATTER.

The Site sweepstakes and giveaways on a periodic basis, with prizes varying depend on the contest currently running. The most current and complete version of our Sweepstakes Official Rules will always be posted on the Site, applicable to any and all contests, sweepstakes, and drawings running at that time. All participation in any Sweepstakes drawing is subject to the Official Rules. Parties who are unwilling to agree to the Terms of the Site shall not qualify to enter or win the periodic scholarship sweepstakes, or other prizes the Site may offer.

2. CFS' Right to Restrict or Terminate Access

CFS may suspend or terminate any person's access to or participation in the Site (and any and all related information, communications, or postings) at any time, without notice, for conduct that violates or in CFS' judgment appears to violate any local, state, or federal laws or regulations, these Terms or other policies or guidelines set out by CFS elsewhere on the Site, or for material and/or conduct that CFS in its sole discretion believes is harmful to other participants, the business of CFS, or other third-party information providers. Individuals who have had their participation suspended or terminated may not continue to utilize the Site in any manner or for any reason without the express written permission of CFS.

CFS may, at any time and without notice to Site Members, modify, alter, remove, or add portions of these Terms, Sweepstakes Rules, and Code of Conduct as it deems fit and necessary. The most current and binding version of these Terms will be available at all times on the Site. By continuing to use the Site after any and all updates are posted, you are bound to abide by the most current version of the Terms. We encourage all Members to regularly review the Terms to view changes and to be aware of new policies, requirements, and restrictions.

CFS maintains the sole authority to decide what steps are to be taken, depending upon the nature and severity of the offense, for violation of these Terms.

3. Responsibilities, Limitations, and Requirements of Use

You agree that Your use of the Site and its Content shall be in full compliance with these Terms, the limitations of the license granted below, and all applicable laws and regulations.

You agree that any information, whether about yourself or otherwise, that you provide or post on the Site shall be truthful, accurate, complete, and not defamatory, disparaging libelous, fraudulent, false or misleading, or otherwise in violation of any applicable law or regulation. Any information found to be inaccurate or incomplete might result in suspension, termination, revocation, or refusal of your participation on the Site and/or denial of any benefits obtained by way of said inaccurate or incomplete information. In maintaining your participation on the Site, you will update your user profile in order to ensure that all information in said profile is accurate and complete at all times. Failure to update your user profile may result in revocation of parts of, or all, participation rights and privileges as determined by CFS. In completing surveys and polls, you consent to provide accurate, honest, and complete information with regard to the questions being posed in said surveys and polls. As a participant, you specifically agree that CFS and third-party Content providers are not liable for any conduct by other participants associated with the Site, including, but not limited to, user profiles, resumes, survey, chat rooms, or message board postings. In reaching its mission of assisting students and their families in meeting the rising costs of a quality education, cfsloans.com awards educational scholarships through periodic drawings. In order to help maintain a Site that promotes diversity at all levels and that invites all interested users to become Members and participate in all its areas, you are encouraged to report occurrences of wrongdoing to CFS officials. Violations may be reported by contacting the Customer Service Department via e-mail at customerservice@cfsloans.com. You acknowledge that CFS may send you e-mail regarding new features, updates to existing features, special offers, affiliate programs, promotions, and news about the Site. All e-mails will be sent in accordance with the Privacy Policy.

4. Disclaimer of Warranties and Limitations

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS", WITHOUT ANY WARRANTY OF ANY KIND. YOU AGREE THAT YOUR USE OF THE SITE IS AT YOUR OWN RISK. YOU TAKE RESPONSIBILITY FOR YOUR ACTIONS ON THE SITE AND FOR ANY DAMAGES INCURRED AS A RESULT OF YOUR USE OF THE SITE. CFS MAKES NO GUARANTEES THAT THIS SITE WILL MEET ALL OF YOUR PERSONAL EXPECTATIONS OR THAT YOU WILL BE AWARDED AN EDUCATIONAL SCHOLARSHIP THROUGH OUR PERIODIC SWEEPSTAKES AND AUCTIONS. CFS MAKES NO GUARANTEES THAT ALL PARTICIPANTS WILL AT ALL TIMES BE ABLE TO GAIN UNINTERRUPTED ACCESS TO THE SITE OR ANY AREAS OF THE SITE. CFS MAKES NO GUARANTEES REGARDING THE ACCURACY, CURRENCY, OR APPROPRIATENESS OF ALL INFORMATION AVAILABLE ON THE SITE. CFS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE.

UNDER NO CIRCUMSTANCES WILL CFS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES UNDER ANY THEORY (INCLUDING CONTRACT, NEGLIGENCE, STRICT LIABILITY OR TORT) ARISING OUT OF OR RELATING IN ANY WAY TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENTS, REGARDLESS OF WHETHER CFS IS ON NOTICE OF SUCH POSSIBLE DAMAGES.

IN NO EVENT SHALL CFS'S MONETARY LIABILITY TO YOU, WHETHER ARISING FROM INDIVIDUAL OR MULTIPLE CAUSES OF ACTION, EXCEED ONE HUNDRED DOLLARS ($100.00). YOUR ONLY OTHER REMEDY FOR DISSATISFACTION WITH THE SITE, SITE RELATED SERVICES AND/OR CONTENT OR INFORMATION CONTAINED WITHIN THE SITE IS TO STOP USING THE SITE AND/OR ITS SERVICES PROVIDED.

YOU AGREE TO INDEMNIFY CFS (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS) AND HOLD IT HARMLESS FROM ANY CLAIM, CAUSE OF ACTION, JUDGMENT, LIABILITY, DAMAGE OR EXPENSE (INCLUDING REASONABLE ATTORNEYS FEES) ARISING FROM OR IN CONNECTION WITH YOUR VIOLATION OF THESE TERMS OR CONDITION OR ANY ALLEGATION THAT YOUR USE OF THE SITE OR ITS CONTENTS WAS IN VIOLATION OF APPLICABLE LAW OR REGULATION.

5. Code of Conduct

The Site may offer free chat rooms and message boards with the intention of facilitating diverse communication through the use of this service (referred to as the "Service"). You are entirely liable and responsible for all of your activities using the Service. CFS does not guarantee that these guidelines will be followed and, therefore, expressly disclaims any and all liability arising from, or related to, any failure to follow such guidelines. a) Etiquette Statement: CFS supports the unique interchange of ideas. We want people to feel comfortable with thoughts and questions provoked by the Site's chats and posted on our message boards. Use any data obtained from any cfsloans.com database for solicitations, commercial or otherwise, or as part of a commercial product, service, or Content offering;
Sell or otherwise distribute any data obtained from any cfsloans.com database;
Use cfsloans.com for purposes of gathering personal identifying information from individuals for commercial or unlawful purposes;
Incorporate any word in a username that violates any trademark, service mark, or other proprietary right of any third party, including, without limitation, any trademark or service mark of CFS; and/or
Forge headers or otherwise manipulate identifiers to disguise the origin of any Content transmitted through the Service.

You acknowledge and agree that CFS may disclose your identity if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms; (c) respond to claims that you have violated the rights of third-parties; or (d) protect the rights, property, or personal safety of CFS users and the public.

6. Intellectual Property

This Site and all information, documentation, and other content ("Content") posted in or on this Site are subject to copyright 2001-2003 by CFS and its affiliates. All rights reserved. Unless stated to the contrary, all Content is CFS' or its affiliates' property. The appearance of this Site, including icons and graphics, are CFS property. By making this Content available on this site, CFS is not waiving any proprietary rights (including copyrights or trademarks) in such Content, and is not transferring its rights to you or any third party. 7. Your and Third Party Copyrights, Trademarks, and Intellectual Property

CFS respects individuals' rights to intellectual property. Posting or discussing original ideas, opinions and/or concepts on message boards or in chat rooms on the Site is encouraged. Theft of intellectual property, copyrights, and/or trademarks by a cfsloans.com Site participant is prohibited. Any Site participant found to be in violation of intellectual property, copyrights, and/or trademark protection will have their participation on the Site suspended and/or terminated and may be referred to the proper authorities for prosecution. By posting anything on the Site, You warrant to CFS that you either own all copyrights and other intellectual property in the material you post, that you have obtained all necessary licenses an releases to post (and allow CFS to display publicly) the materials you post, and that your acts are in compliance with all applicable laws and regulations. By posting any such material, you also grant to CFS an unlimited, nonexclusive, fully paid-up license to reproduce, publicly display and distribute such materials, and to allow third parties to have access to such materials. 8. Governing Law; Severability

These Terms are created and governed in accordance with the laws of the Commonwealth of Virginia, USA, without regard to its choice of law rules. By agreeing to these Terms, you agree that all disputes arising from the use of cfsloans.com shall be resolved under the sole jurisdiction and venue of the courts of Stafford County, Virginia, USA or the United States District Court for the Eastern District of Virginia.

Any provisions contained in these Terms found to be in violation of, or contradiction to, current laws will be considered void. Voided or severed portions of these Terms shall not have any bearing on the remainder of the Terms. Use of the Site is prohibited in any legal jurisdiction that does not recognize these Terms as legal and binding. A Site participant may make no changes to the Terms unless the changes are agreed to, and signed by, both the participant and CFS.

9. Privacy and Security

CFS believes that privacy and security are of major concerns to online users. Therefore, we have adopted the privacy statement located on this Site to disclose the privacy practices for the Site. 10. Merger Clause

These Terms and Conditions constitute the entire agreement between CFS and any participant with respect to the subject matter contained herein and supersedes any other agreement, proposals, and communications, written or oral, between CFS representatives and each Site Member with respect to the subject matter hereof. CFS may amend these Terms and Conditions at any time and without notice.

We hope your enjoyment of Site services, Content, and contests will be enhanced by the application of these Terms.
